Investment Funds Lawyer

An elite US law firm is searching for an experienced investment funds lawyer to join their NYC office to lead investment management advisory for private investment fund clients.

This individual will work with partners across the USA to cover the full spectrum of funds work, including fund structuring, formation and investment work with a focus on key sectors including real estate, energy, infrastructure, debt and buy-out funds.

The team advise large asset owners on their investment into fund structures and on secondary transactions. Investment Management is a growing area and the team has an excellent track record.

Responsibilities

• Structuring funds, and managing fund closings and post-closing formalities.
• Drafting fund documents, liaising with specialists and local counsel where needed
• Running negotiations with investors
• Structuring and drafting documents to implement carried interest and co-investment arrangements
• Running the day-to-day aspects of a number of fundraisings
• Advising fund managers on ad hoc queries arising during the life cycle of a the fund
• Contributing to group and global group know-how, producing internal articles, delivering training where required

Requirements

• A background in fund establishment, structuring/marketing and related negotiations
• Experience in ongoing fund operational issues, secondary transactions and restructuring mandates
• Strong understanding of key US regulatory issues relevant to private fund managers
• Ability to take a leadership role and manage a varied workload.
• Strong academic credentials including a JD from a respected institution
• Qualified under the New York Bar
• At least 1 year of experience in private practice
• Excellent commercial judgment
• A team player, personable, social and works well with a variety of colleagues
