Senior Associate, M&A/PE

We are currently seeking a talented M&A Senior Associate to join a Tier-1 Private Equity M&A division in London.
As a Senior M&A Associate with a focus on private equity, you will play a critical role in advising and supporting our private equity clients throughout their transactional activities. You will work closely with senior partners and a talented team of lawyers, providing legal guidance and solutions to clients at every stage of the deal process. Your expertise and insights will be instrumental in facilitating successful transactions and building long-term relationships with our private equity clients.
Key Responsibilities:
- Provide expert legal advice and support to private equity clients on all aspects of transactional matters, including acquisitions, divestitures, mergers, and financings.
- Conduct due diligence reviews, identify legal risks, and develop strategies to mitigate risks and maximize deal value.
- Assist with deal structuring, negotiation of transaction documents, and drafting of legal agreements and disclosures.
- Collaborate with internal and external stakeholders, including other legal teams, financial advisors, and regulatory authorities, to ensure smooth and efficient deal execution.
- Advise on complex legal issues related to private equity investments, fund formation, governance, and compliance.
- Work closely with senior partners to develop and maintain strong relationships with private equity clients, providing high-quality legal services and fostering client trust and loyalty.
- Stay updated on industry trends, legal developments, and market practices relevant to private equity transactions, sharing insights and best practices with the team.
Requirements:
- Law degree from a reputable university, with strong academic credentials. Additional qualifications (e.g., LLM) are highly desirable.
- Experience in corporate law and M&A transactions, with a focus on private equity, gained within a reputable law firm or corporate environment.
- Extensive knowledge of private equity transactional matters, including fund formation, investments, and exits.
- Proven track record in advising private equity clients on complex transactions, demonstrating a strong understanding of deal structuring, due diligence, and negotiation.
- Sound knowledge of relevant legal frameworks, regulations, and industry best practices related to private equity investments.
- Excellent analytical, problem-solving, and communication skills, with the ability to convey complex legal concepts effectively.
- Strong business acumen and client relationship management skills, with a proven ability to build and maintain client relationships.
- Highly motivated, with the ability to work both independently and collaboratively within a fast-paced and demanding environment.
- Qualified to practice law in England and Wales, with relevant professional memberships.
